Associate – Corporate and M&A Practice (Cross-Border M&A Deals)

We are seeking a talented and motivated Associate to join our Corporate and M&A Practice, specializing in cross-border M&A transactions. This role offers a unique opportunity to work on high-profile international deals, collaborating with top-tier professionals in a dynamic and fast-paced environment.

Key Responsibilities

  • Structuring and execution of cross-border and local acquisitions, joint ventures, corporate reorganizations, and exits, including equity and asset deals.

  • Draft, review a wide range of transactional documentation, including share purchase agreements, shareholder agreements, joint venture agreements, investment agreements, call and put option agreements, convertible instruments, and ancillary corporate documents.

  • Legal due diligence processes, identifying potential legal and regulatory risks, and proposing mitigation strategies to support informed decision-making.

  • Engage in legal research and jurisdictional analysis related to corporate, regulatory, and transactional matters across multiple jurisdictions.

  • Post-transaction integration, corporate governance frameworks, and compliance with regulatory requirements (including antitrust/merger control, foreign investment, and licensing matters).

Requirements

  • 4+ years of experience in Corporate/M&A at a law firm.

  • Strong knowledge of Ukrainian corporate law and understanding of M&A common law concepts.

  • Experience in deal structuring, negotiations, and post-transaction integration.

  • Excellent legal writing, analytical, and research skills.

  • Fluency in English (both written and spoken) is a must.

  • Master's degree in Law from a reputable university
